Why the company usually comes first

For a lot of relocating families the company is not a side project - it is the thing employment-based residency and payroll are built on. If your company will employ you, sequence incorporation before your residency application so the employment paperwork actually exists when you apply.

That single ordering decision saves more time than any other in this chapter.

The usual sequence

A Cyprus private limited company is the standard vehicle, and the process generally runs like this:

  • Approve a company name
  • Prepare the memorandum and articles
  • Incorporate with the Registrar of Companies
  • Register for tax, and for VAT if applicable
  • Register for social insurance and payroll as an employer

Each of those steps is routine on its own. It is the dependencies between them, and with your residency route, that cause delays.

Tax rate and what changed in 2026

Standard corporate income tax in Cyprus rose from 12.5% to 15% with effect from 1 January 2026, as part of the wider tax reform.

Personal tax residency is a separate question with its own rules, including the 183 day and 60 day tests and the non-domicile regime. That has its own chapter in the guide.

Substance is not optional any more

Substance matters more than it used to. Real offices, local directors and staff genuinely based here make life materially easier with banks and with the tax authorities.

A structure that exists only on paper will meet friction at exactly the moments you cannot afford it - account opening, banking reviews, and any question about where the business is actually managed from.

Banking is the bottleneck

Business bank account opening is, in practice, the slowest step. Prepare a clear business plan, contracts and source-of-funds evidence up front rather than assembling them reactively when the bank asks.

Build the delay into your timeline. Families who assume banking takes days rather than weeks are the ones whose whole relocation schedule slips.

Use licensed professionals

Company formation, payroll and tax registration are regulated activities in Cyprus. Use a licensed Cyprus lawyer, accountant or corporate services provider.
